Support during an acqusition of production capacities Provided legal support during an acquisition of a printing facility. The work included carrying out integrated legal due diligence; structuring the transaction; drafting and negotiating the terms of the sale and purchase agreement; obtaining clearance for the transaction from anti-trust authorities and closing the deal.   

Legal advice on the set-up of a joint venture Advised a consortium of investors in connection with the launch of a Russian-Korean-Chinese project. This was a joint venture for the construction of a cargo terminal in the Russia’s Far East. Investments in the project exceeded USD 100 million. 

Support for the investement projects in connection with the opening of a hotel chain Supported a European hotel operator in concnection with the opening of a hotel chain in several regions of Russia. The work included structuring of transactions and acquisition of real estate objects for future construction/reconstruction , advising on project finacing issues, and so on. 

Investement project involving construction of an automobile manufacturing facility Provided full support to a leading international automobile manufacturer during the construction of a manufacturing facility in St. Petersburg. The work included: negotiating an investment agreement; formalising the status of a strategic investor with the local authorities; advising on tax incentives; selecting the land plot and assisting with its acquisition; advising on employment, corporate, customs issues, etc. 

Recommendations on how to finalise in docu­mentation contractual relations We were commissioned by a leading FMCG company to perform a detailed analysis of the tax consequences of different types of cooperation between producers and third parties to promote sales. We also prepared recommendations on how to finalise in docu­mentation contractual relations with distributors, retail outlets and advertising agencies;

Conducted a due diligence of a company trading carbon emission quotas Conducted a due diligence of a company trading carbon emission quotas in terms of its potential acquisition. Analysed the procedure for obtaining a license and the issues of compliance with license agreements and environment legislation. Assessed possible risks relating to violation of legislation.
