Prepared a legal opinion regarding attracting a large Chinese investor, setting up a joint venture and using lands. The opinion also covered conditions for foreign investors in Russia, including new tax benefits. We have also, among other things, provided support during negotiations with state-owned oil and gas companies. 

Advised on a variety of matters arising with regard to the potential forming and restructuring of arrangements Pepeliaev Group’s lawyers advised one of the largest Russian oil companies on a variety of matters arising with regard to the potential forming and restructuring of arrangements relating to financing and facilitating the construction of an offshore oil-field plant. The project tasks included an analysis of the unfulfilled obligations relating to providing financing and collateral; developing and agreeing the position of the contractor and other banks; and drafting the restructuring agreements.

Reviewed and drafted EPC contracts; advised on legislative amendments; advised on different land categories, on construction and on regulation, including on the construction of the whole infrastructure for the purposes of the project; obtained rights to develop land plots and construct the offshore part for the project. Advised on various environmental issues relating to the project, including on environmental liability.
